This Reseller Agreement ("Agreement") governs your participation in the NFC Tagify Reseller Programme and your use of the white-label platform features.

This Agreement supplements the Terms of Service. In the event of a conflict, this Agreement takes precedence for reseller-specific matters.

1. The Reseller Programme

NFC Tagify's Reseller Programme allows approved partners to:

  • White-label the NFC Tagify platform under their own brand and domain
  • Create and manage company accounts for their end customers
  • Set custom pricing for their customers (within permitted limits)
  • Access reseller-specific admin tools and reporting

2. Appointment

Subject to this Agreement, NFC Tagify grants you a non-exclusive, non-transferable, revocable licence to resell the Service to end customers within your permitted territory.

This appointment does not create an employment relationship, partnership, or agency.

3. Reseller Obligations

As a reseller, you must:

  • Comply with all applicable laws and regulations in your territory
  • Accurately represent the Service and not make false claims about its features
  • Maintain the confidentiality of NFC Tagify pricing and internal information
  • Not sub-license the reseller role to any other party without written consent
  • Ensure your end customers comply with NFC Tagify's Terms of Service and Acceptable Use Policy
  • Maintain your own terms of service and privacy policy for your end customers
  • Not modify the core platform functionality in ways that create security vulnerabilities
  • Provide first-line support to your end customers before escalating to NFC Tagify

4. Branding and White-Labelling

You may:

  • Replace the NFC Tagify logo with your own branding within the provided customisation options
  • Use your own domain name for the portal (subject to the Custom Domains feature)
  • Customise colour schemes, logos, and contact information

You must not:

  • Claim to have built the underlying platform yourself
  • Remove or obscure any "Powered by" attributions where required by your plan
  • Use NFC Tagify's trademarks in a way that implies official endorsement beyond your authorised use

5. Pricing and Payments

5.1 Reseller Fees

You pay NFC Tagify the reseller wholesale price for your plan. Wholesale pricing is set out in your reseller onboarding documentation and may be updated with 30 days' notice.

5.2 Your Customer Pricing

You set your own retail prices for end customers. You are responsible for all billing relationships with your customers.

5.3 NFC Card Orders

NFC card orders placed through your platform are fulfilled by NFC Tagify at the reseller wholesale price. You are responsible for your customer's shipping address being correct.

6. Data Responsibilities

You are the data controller for your end customers' data. NFC Tagify processes that data as a sub-processor on your behalf.

You must:

  • Have a lawful basis for sharing your customers' data with us
  • Maintain your own privacy policy covering your use of the platform
  • Execute a Data Processing Agreement with us (available on request)
  • Comply with all applicable data protection laws in your territory

7. Support

NFC Tagify provides reseller support for platform issues via partners@nfctagify.com. Response times are within 2 business days for standard issues and within 4 hours for critical platform outages.

You are responsible for providing first-line support to your end customers.

8. Termination

Either party may terminate this Agreement with 30 days' written notice.

NFC Tagify may terminate immediately if you:

  • Materially breach this Agreement and fail to remedy within 7 days of notice
  • Violate the Acceptable Use Policy
  • Become insolvent or cease trading
  • Engage in fraudulent or deceptive practices

On termination, your access to white-label features ceases, and your end customers' accounts revert to standard NFC Tagify accounts unless otherwise agreed.

9. Confidentiality

You agree to keep confidential all non-public information received from NFC Tagify, including pricing, roadmap information, and technical documentation.

10. Limitation of Liability

NFC Tagify's liability to you under this Agreement is limited to the fees paid in the 12 months preceding the claim. We are not liable for your customers' claims against you.

11. Governing Law

This Agreement is governed by the laws of England and Wales.
